Case Commander Terms of Service
Effective date: [EFFECTIVE DATE] Last updated: [LAST UPDATED DATE]
These Terms of Service ("Terms") are an agreement between you and [COMPANY LEGAL NAME], a [ENTITY TYPE] organized under the laws of [STATE OF FORMATION] ("Case Commander," "we," "us"). They govern your use of the Case Commander website, app, and related services (the "Service").
Please read Section 15 carefully. [If arbitration is adopted: it contains a binding arbitration agreement and a class-action waiver that affect how disputes are resolved.]
By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.
1. What Case Commander is
Case Commander is an AI-powered study tool for law students. It helps you learn legal material by teaching, questioning, and testing your understanding of topics you choose and materials you upload.
Case Commander is an educational tool. It is not a law firm, it does not provide legal advice, and it does not replace your professors, your courses, or your own study.
2. Eligibility
You must be at least [18] years old and able to form a binding contract to use the Service. By using the Service, you confirm that you meet these requirements. The Service is intended for law students and others studying law. [COUNSEL: confirm the age floor and whether to restrict to U.S. users during beta.]
3. Accounts
- Provide accurate information and keep it up to date.
- Keep your password confidential. You are responsible for activity under your account.
- Notify us at [CONTACT EMAIL] if you suspect unauthorized access.
- One person per account. Do not share accounts or sell access.
- Guest and demo access. We may provide limited guest access through access codes, for example for product evaluations. Guest access is personal to the recipient, may be revoked at any time, and is subject to these Terms.
4. Academic integrity
Case Commander is built to help you learn, not to do your graded work for you.
- Do not use the Service to complete graded or assessed coursework, including exams, take-home exams, graded papers, memos, briefs, problem sets, or any assignment where AI help is not permitted, or where AI help is permitted only with disclosure you have not made.
- You are solely responsible for knowing and following your school's honor code, academic-integrity rules, and each course's AI policy. Policies differ between schools and between professors. When in doubt, ask your professor.
- The Service is designed to decline requests to complete graded coursework. These safeguards are imperfect. Their existence does not shift responsibility for your academic conduct to us.
- We do not make, and the Service does not make, determinations about whether any student has committed academic misconduct.
- We may suspend accounts that we reasonably believe are being used to violate academic-integrity rules.
[COUNSEL: consider whether to add a statement that we will not provide user data to schools for integrity investigations except as legally required.]
5. Acceptable use
You agree not to:
- break any law, or use the Service to infringe, misappropriate, or violate anyone's rights, including copyright;
- upload content you do not have the right to upload (see Section 6);
- upload confidential client information, privileged material, other people's sensitive personal information, or real legal-matter files from jobs, clinics, or externships;
- use the Service to give, or to pretend to give, legal advice to others;
- try to bypass the academic-integrity safeguards, usage limits, or security measures, or try to extract system prompts or model internals;
- reverse engineer, scrape, or copy the Service, or use it to build a competing product;
- interfere with or disrupt the Service, or attempt unauthorized access to it;
- upload malware, or harass, threaten, or abuse anyone;
- use the Service in any way that violates the usage policies of our AI providers (for example, Anthropic's Usage Policy) as they apply to end users;
- resell, sublicense, or commercially exploit the Service without our written permission.
6. Your content
"Your Content" means everything you submit: uploaded files (for example, case PDFs, casebook excerpts, class notes, and statutes), messages, voice input, answers, and feedback.
You keep ownership. As between you and us, you own Your Content.
License to us. You grant us a non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit, and display Your Content, and to create derivative works from it (such as topic maps, summaries, and evaluations), only as needed to provide, secure, and improve the Service for you, and as described in our Privacy Policy. This includes sending Your Content to our AI service providers to generate responses. The license ends when you delete Your Content or your account, except for (a) copies kept in backups for a limited time, (b) content we must keep to comply with law, and (c) feedback (see Section 8).
[COUNSEL: If the founder wants to use de-identified transcripts to improve prompts or the scoring engine, or to train or fine-tune models, this license must say so explicitly. The current draft limits use to "improve the Service for you." Confirm the intended scope.]
Your promises about Your Content. You represent that:
- you own Your Content or have all rights and permissions needed to upload it and grant the license above; and
- Your Content and our use of it as permitted by these Terms will not infringe anyone's rights or violate any law.
Copyrighted course materials. Many casebooks, treatises, commercial outlines, and some course packs are protected by copyright. Court opinions and statutes are generally in the public domain, but a publisher's editing, headnotes, notes, and commentary may not be. Upload only materials you have the right to use, such as your own notes, public-domain opinions and statutes, and excerpts you are permitted to use for your personal study. You are responsible for your uploads. We do not make uploaded materials available to other users.
[COUNSEL: please advise on fair-use exposure for personal-study uploads of casebook excerpts that are processed by a third-party AI provider, and whether to cap upload size or excerpt length.]
Removal. We may remove or disable content that we believe violates these Terms or the law. We have no obligation to monitor content.
7. Copyright complaints (DMCA)
We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent:
[DMCA AGENT NAME] [COMPANY LEGAL NAME] [MAILING ADDRESS] Email: [DMCA EMAIL]
Your notice must include: (1) your physical or electronic signature; (2) identification of the copyrighted work; (3) identification of the infringing material and enough information for us to locate it; (4) your contact information; (5) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on the owner's behalf. We may terminate the accounts of repeat infringers in appropriate circumstances. Counter-notice procedure: [TO BE ADDED].
[COUNSEL / FOUNDER: to get DMCA safe-harbor protection, register a designated agent with the U.S. Copyright Office (electronic system, small fee, renewal every 3 years) and adopt a repeat-infringer policy. Not yet done.]
8. Feedback
If you send us suggestions or feedback, including survey answers, we may use them without restriction or compensation to you.
9. AI-generated output
The Service uses artificial intelligence to generate explanations, questions, topic maps, evaluations, and other output ("Output").
- Output is for education only and is not legal advice. Do not rely on it to make decisions about any real legal matter. If you need legal advice, consult a licensed attorney in your jurisdiction.
- Output may be wrong. AI can produce inaccurate, incomplete, outdated, or invented statements, including invented case names, holdings, citations, or rules. Always check Output against your assigned readings, primary sources, and your professor's instruction.
- Output does not replace your professors or your courses. Your professor's view of the material, and your school's grading, control.
- Output may not be unique. Other users may receive similar output.
- Subject to these Terms and to applicable law, as between you and us, you may use Output generated for you for your personal study. [COUNSEL: confirm the approach to output ownership consistent with Anthropic's and OpenAI's commercial terms, which assign output rights to the API customer (us), to the extent such rights exist.]
- You are interacting with an AI system, not a human professor.
10. Commanding Score and mastery data
The Commanding Score, mastery levels, and similar measures are evolving learning signals designed to help you study. They are not validated assessments, are not predictive of grades, bar passage, or any academic or professional outcome, and are not official records. We may change how they are calculated at any time, which may change your scores. Do not present them to any school, employer, or licensing authority as a certification of your knowledge.
11. Subscriptions and payment (placeholder; billing not active)
[Billing is not currently enabled. The Service is offered free of charge during beta. Before charging any fees, this section must be completed with counsel. It must cover pricing, billing cycle, automatic renewal disclosures and consent (including California and other state automatic-renewal laws and the FTC's rules on negative-option and cancellation practices), free-trial terms, cancellation method, refunds, taxes, price changes with notice, and the payment processor.]
12. Changes to the Service and these Terms
We may change, suspend, or discontinue any part of the Service. We may update these Terms. If a change is material, we will give reasonable notice (for example, by email or in-app notice) before it takes effect. If you keep using the Service after the effective date, you accept the updated Terms. If you do not agree, stop using the Service and delete your account.
13. Termination
- You may stop using the Service at any time and may request account deletion at [CONTACT EMAIL].
- We may suspend or terminate your access if you violate these Terms, if we must do so by law, or if we reasonably believe your use creates risk or harm to us, other users, or third parties. Where reasonable, we will give notice.
- After termination, your right to use the Service ends, and we will handle Your Content as described in the Privacy Policy. Sections 6 (your promises), 8, 9, 10, and 14 through 17 survive termination.
14. Disclaimers
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT OUTPUT WILL BE ACCURATE OR COMPLETE, OR THAT USING THE SERVICE WILL IMPROVE YOUR GRADES OR OTHER OUTCOMES. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, (A) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, ACADEMIC STANDING, OR GOODWILL; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR [US $100]. These limits apply to every theory of liability, even if we were told such damages were possible. Some jurisdictions do not allow these limitations, so they may not apply to you.
16. Indemnity
You will defend, indemnify, and hold harmless Case Commander and its officers, employees, and agents against third-party claims arising from (a) Your Content, including claims that your uploads infringe copyright, (b) your violation of these Terms, or (c) your violation of law or of your school's rules. [COUNSEL: consider whether consumer-facing indemnity is enforceable in key states and appropriate for a student audience.]
17. Dispute resolution and governing law
- Governing law: These Terms are governed by the laws of [GOVERNING LAW STATE], without regard to its conflict-of-laws rules, and by applicable U.S. federal law.
- Informal resolution first: Before filing a claim, contact us at [CONTACT EMAIL] and try to resolve the dispute informally for at least [30] days.
- Forum / arbitration: [OPTION A: exclusive jurisdiction of the state and federal courts in [COUNTY, STATE]. OPTION B: binding individual arbitration administered by [AAA / JAMS] under its consumer rules, with a class-action waiver, a small-claims carve-out, a 30-day opt-out right, and mass-arbitration procedures.] [COUNSEL: choose. Arbitration clauses need careful drafting for consumer enforceability.]
- Time limit: [To the extent permitted by law, claims must be brought within [one] year after they arise.]
18. General
These Terms, together with the Privacy Policy, are the entire agreement between you and us about the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries. Notices to you may be sent by email or posted in the Service.
